Shiok AG
1. Scope
These General Terms and Conditions (GTC) apply to all services provided by Shiok AG in the areas of consulting, executive coaching, mediation, conflict management, negotiation, leadership development, workshops, training programmes, facilitation, keynote speaking, etc.
Any deviations from these GTC require written agreement or express confirmation by email.
2. Services
Services are provided individually in accordance with the relevant proposal or written agreement.
The scope of services, objectives, schedule and fees are defined in the proposal or engagement confirmation.
Unless otherwise required by law, no specific commercial, personal or organisational outcome is guaranteed.
3. Formation of Contract
A contract is concluded upon written acceptance of a proposal, an engagement confirmation, or mutual confirmation by email.
4. Collaboration
A successful engagement is based on open and constructive cooperation.
The client shall provide all information reasonably required for the performance of the services in a timely manner.
5. Fees
The fees agreed in the proposal shall apply.
Unless otherwise agreed:
Invoices are payable within 30 days without deduction.
Travel expenses and out-of-pocket costs will be charged separately.
Value Added Tax (VAT) will be charged where legally applicable.
6. Rescheduling and Cancellation
Individual appointments may be rescheduled free of charge up to 48 hours before the scheduled start time.
For later cancellations, the following fees apply:
48–24 hours: 50%
Less than 24 hours or no-show: 100%
Any travel or preparation costs already incurred remain payable.
7. Workshops and Training
For in-house workshops, agreed dates are binding.
If the client cancels or postpones:
More than 30 days before: no charge
30–15 days before: 50%
Less than 15 days before: 100%
8. Confidentiality
All information exchanged during the engagement will be treated as confidential.
This obligation continues after termination of the engagement.
Statutory disclosure obligations remain unaffected.
9. Data Protection
Personal data will be processed solely for the purpose of performing the engagement.
The current Privacy Notice published on the website shall apply.
10. Intellectual Property
All documents, presentations, frameworks, methodologies and training materials remain the intellectual property of Shiok AG.
They may not be reproduced, published or shared with third parties without prior written consent.
AI tools may be used to support research and document preparation while maintaining confidentiality.
11. Consulting und Executive Coaching
Consulting and coaching support decision-making, leadership and organisational development.
They do not constitute legal, tax, financial, medical or psychological advice.
Responsibility for all decisions remains solely with the client.
12. Mediation
Mediation is a voluntary and self-determined process.
The mediator facilitates the process but does not make decisions or provide legal advice.
The parties remain responsible for obtaining independent legal advice where appropriate.
13. Liability
To the extent permitted by law, liability for ordinary negligence is excluded.
Any liability is limited to the fees paid for the relevant engagement.
Liability for indirect or consequential losses is excluded.
14. Force Majeure
If services cannot be provided due to events beyond reasonable control, the parties will work together to agree on an appropriate alternative solution.
15. Governing Law and Jurisdiction
These GTC are governed exclusively by the laws of Switzerland.
The place of jurisdiction shall be the registered office of Shiok AG in Zug.
